1. General Use and Access

1.1 This website is intended for personal, non-commercial use. We may refuse service, cancel orders, or limit quantities at our discretion where abuse or policy violations are suspected.

1.2 By using the site, you agree that electronic communications (e.g., email, on-site notices) satisfy legal requirements for written communications.

1.3 Links to third-party websites are provided for convenience only. We are not responsible for their content or practices; use them at your own risk.

2. Pricing, Shipping Inclusion & Taxes

2.1 Prices are in U.S. dollars and may change without notice. For eligible items and destinations, standard shipping to the contiguous U.S. is included as outlined in our Shipping Policy; special regions or methods may require additional charges (see Section 5).

2.2 Prices do not include: (a) applicable sales/use taxes (calculated at checkout where required); (b) expedited/inside delivery or white-glove services; (c) incremental charges for Alaska, Hawaii, or U.S. territories (manual approval required).

2.3 Once an order is confirmed, the price is locked unless you request changes or a regulatory surcharge/force-majeure event occurs. You will have a chance to reconfirm prior to dispatch.

3. Samples & Credits

3.1 Pre-curated sample kits are available; limits may apply to prevent abuse.

3.2 Sample Credit: up to $20 credit toward a qualifying full order (50 sq.ft. minimum) within 30 days of sample shipment; custom factory-matched samples are non-refundable.

3.3 Samples may ship from U.S. sample facilities or the factory, depending on availability.

3.4 Minor tone/gloss/size variations may occur between samples and production batches; such normal variations are not a defect.

3.5 We may limit or reject sample requests for suspected non-genuine use.

3.6 Samples included’ refers to paid sample kits eligible for credits under §3.2; samples are not free.

4. Orders & Payment

4.1 Guest checkout is supported. Accepted methods include major cards, PayPal, and approved trade invoicing.

4.2 Orders are not binding until confirmed. We may cancel/modify for inventory discrepancies, payment/verification failure, or incomplete addresses.

4.3 By ordering, you acknowledge the published delivery timelines—including factory sea-freight windows—and agree they are not grounds for cancellation/refund once dispatched unless required by law. We may require affirmative consent to these timelines at checkout.

4.4 We may contest chargebacks/disputes with proof of shipment, delivery, and prior correspondence.

5. Shipping & Delivery

5.1 Coverage & Methods

5.1.1 We automatically ship to the contiguous 48 U.S. states. Alaska, Hawaii, and U.S. territories require manual approval and may incur extra fees; APO/FPO/DPO and international (outside U.S. territories) are not available.

5.2 Timeframes (processing included)

5.2.1 All delivery estimates include processing time (0–3 business days). Orders placed after the daily cutoff (2:00 PM Pacific Time) begin processing the next business day; carrier transit days are Mon–Fri (U.S. federal holidays excluded).

  • Sample Kits: 0–10 business days (free, contiguous U.S.).
  • Select Vinyl (domestic warehouse): 0–13 business days (free, contiguous U.S.).
  • Full-size tile (factory sea freight): 0–48 days including processing (typical in-transit ~35–45 days).
  • Expedited upgrade (fast vessel/air-assist): ~20–30 business days; +35% surcharge applies (non-refundable unless required by law).

5.2.3 Force-majeure delays—e.g., port congestion, customs, severe weather, strikes—do not qualify for cancellation, refund, or compensation.

5.3 Processing, Tracking & Access

5.3.1 Processing is 0–3 business days; tracking is provided at dispatch for all shipments, including sample kits.

. Factory-direct orders include milestone updates (port arrival, U.S. entry, last-mile assignment).

5.3.2 Standard delivery is curbside. Inside/scheduled services require pre-approval and additional fees.

5.3.3 You must ensure address accuracy and site access (gates, docks, liftgate needs). Undeliverable/unauthorized refusals or returns due to address or access issues will deduct original + return freight, redelivery/storage, and applicable restocking fees from any refund.

5.3.4 Risk of Loss/Title transfer to you once the order is handed to the carrier; inspect promptly and report damage within 72 hours.

6. Returns & Refunds

6.1 Windows, Conditions & Fees

6.1.1 Start a return within 30 days of delivery; ship within 7 days of RMA approval; the return must arrive within 60 days of the original delivery date (maximum 75 days including transit).

6.1.2 Return items must be unused, unopened, in full-box quantities, and include a valid RMA; exceptions apply for defective/incorrect items reported within 72 hours.

6.1.3 Non-defect returns: customer pays return shipping; 35% restocking fee applies; refunds issue within 7–14 business days after inspection.

6.1.4 Non-returnable/Non-exchangeable: samples; custom/made-to-order; clearance/final-sale; installed/cut/altered items; returns without RMA or outside the window.

6.1.5 Defective/Damaged/Incorrect: report within 72 hours of delivery with photos; we provide a prepaid return label and waive restocking fees; options include replacement, store credit, or full refund (items must not be installed/cut).

6.1.6 Unauthorized/late returns or returns to the wrong address may be rejected or disposed; if denied, you may request goods returned to you at your expense within 7 days.

6.2 Routing & Facilities (summary)

6.2.1 Return routing depends on the shipping class on your order: domestic-warehouse items route to U.S. sample/return facilities; factory sea-freight items route to our China facility for standard returns (customer pays international freight). Defective/incorrect items receive a prepaid U.S. label and no fee.

6.3 Installation = Acceptance

6.3.1 Do not install damaged/incorrect items. Any installation constitutes final acceptance and waives return/claim rights.

7. U.S. Consumer Rights

Nothing in these Terms limits mandatory U.S. federal/state consumer rights. In case of conflict, such laws control where required.

8. Custom Orders

8.1 Custom sizes/textures/materials may require MOQs (typically 100 sq.ft.).

8.2 Custom/MTO products are generally non-cancellable and non-returnable once production begins, subject to applicable law.

8.3 Quotes: (a) submit design/brief; (b) receive quote in 5–7 business days; (c) pay to start production; (d) typical production 4–8 weeks.

8.4 Cancellations: prior to production require written approval; after production begins but before shipment, a 15% cancellation fee may apply.

9. Design Help Disclaimer

Free design support (e.g., layouts/moodboards/tile matches) is for inspiration only and is not licensed architectural/structural advice.

We typically respond to design consultation requests within 3–7 business days; timelines are estimates and not guaranteed.

10. User Responsibilities

10.1 If you create an account, safeguard credentials; you’re responsible for activities under your account.

10.2 Do not re-register after termination without consent.

10.3 By ordering, you confirm measurements/quantities/delivery details, account for 10–15% waste, inspect within 72 hours, and will not install damaged/incorrect items (installation = acceptance).

11. Risk of Loss and Title

Risk of loss and title pass to you when the shipment is handed to the carrier; note any damage on the Proof of Delivery (POD) and notify us within 72 hours.

12. Force Majeure

We are not liable for delays/failures caused by events beyond our control (e.g., port congestion, customs, strikes, severe weather, natural disasters). Such events are not grounds for cancellation or compensation.

13. Limitation of Liability

13.1 We are not liable for improper installation/misuse; indirect/incidental/consequential damages; batch variations; carrier delays or missed deliveries.

13.2 Our total liability is limited to the original purchase price.

13.3 The site and content are provided “as is” without warranties.

13.4 To the fullest extent permitted by law, we disclaim all implied warranties.

14. Intellectual Property

All site content (including content created with AI assistance) is owned by VividCozy or its licensors and protected by IP laws. No reproduction or commercial use without prior written consent.

15. User Content & Idea Submissions

You warrant your submissions are lawful and non-infringing. Unless otherwise agreed, you grant us a worldwide, royalty-free license to use/adapt/distribute submissions for our business.

16. Trade & Business Purchases

Trade/contractor/bulk orders may have additional terms; request a formal quote/agreement.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Hong Kong SAR, without prejudice to any non-waivable U.S. consumer protections applicable to you.

18. Export Restrictions & Compliance

You must comply with Hong Kong and destination-country export rules; do not access where content/purchases are illegal.

19. Assignment, Breach & Accessibility

19.1 You may not assign rights/obligations without our written consent.

19.2 On breach, we may suspend access or pursue legal remedies.

19.3 We strive to meet accessibility standards (e.g., WCAG) and will address issues reported to us.

20. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your violation of these Terms, laws, or third-party rights.

21. Language & Entire Agreement

These Terms are in English and constitute the entire agreement, superseding prior understandings.

22. Changes to Terms

We may update these Terms at any time; material changes will be signaled by updating the “Last Updated” date. Continued use after updates constitutes acceptance. These Terms operate alongside our Privacy Policy, Shipping Policy, and Returns & Refunds Policy, which may be updated independently.

23. Data, Ads & Privacy Controls

23.1 We do not sell personal information. Limited data may be used with advertising partners only if you consent via our cookie banner or Opt-Out Preferences; you may withdraw consent at any time.

23.2 We honor Global Privacy Control (GPC) signals as a valid opt-out of sale/sharing. We do not respond to the older Do Not Track (DNT) signal; manage preferences via our cookie banner or Opt-Out Preferences page.

23.3 You may also control cookies at the browser level; disabling non-essential cookies may affect features such as cart/checkout.
